"I have drafted a software-development agreement that will govern the relationship between a development company and an investor. Before we circulate it for signature, I want a U.S.-licensed attorney who regularly handles technology transactions to tighten the language and flag any business or legal risks that may have slipped through.

The document already covers ownership of code and other intellectual property, payment scheduling, milestone acceptance, and confidentiality provisions, but I need your eye to be sure everything is enforceable under U.S. law and balanced for both sides.
