This Agreement is entered into between:

Client: SOVA Brand (Global E-commerce / Print-on-Demand)

1. Core Principle

This Agreement is strictly performance-based.
No results = no payment.
Any deviation from this principle renders the Agreement void.

2. Zero Upfront Payment

No advance payment of any kind.

Setup fees, commitment fees, or guarantees are explicitly rejected.

Payment is triggered only after verifiable commercial success.

3. Definition of Success

Success is achieved only if at least ONE of the following is met:

150 fully paid orders from at least 5 different countries, OR

€5,000 in verified revenue from real customers.


> Verification is strictly via Shopify Analytics.
Clicks, traffic, impressions, or test orders do not count.



⏳ Validation period: 60 days from official launch.

4. Compensation

Upon meeting success criteria, the Client chooses ONE option:

Option A: One-time payment of €3,500

Option B: 20% of net profit for 6 months, capped at €6,000


No other fees, royalties, or future claims apply.

5. Ownership & Control

All assets (store, products, designs, data, accounts, domain) are 100% owned by SOVA.

The Service Provider acquires no equity or long-term rights.

Access granted is temporary and revocable.

6. Service Provider Responsibilities

Technical setup, structuring up to 25,000 products, global Shopify configuration (250+ countries), initial optimization.

Failure to meet success criteria is considered non-performance, not “market conditions”.

7. Risk Allocation

Service Provider assumes 100% execution risk.

Client assumes 0% financial risk prior to success.

Failure to achieve success → automatic termination, no payment, no penalties.

8. Confidentiality

All technical, commercial, and strategic information is confidential and cannot be shared or used without permission.

9. No Renegotiation

No renegotiation before success is allowed.

Any attempt to alter terms before success voids the Agreement.

10. Governing Law

Governed by the laws of the Client’s jurisdiction.

All disputes resolved in favor of the Client.
